1. Introduction

These Terms and Conditions govern the use of our review automation services provided by

RepNest to our clients. By engaging our Services, you agree to be bound by these Terms.

2. Description of Services

We provide an automated review request service that contacts your customers via SMS, email, or other channels to request feedback and reviews on your behalf. You provide us with your customer data list, and we use it solely for the purpose of executing this service.

3. Client Responsibilities

You agree that:

You have obtained all necessary permissions and consents from your customers to provide their personal information (including names, emails, and phone numbers) to us.You will ensure your data lists are accurate, up-to-date, and legally obtained.You will not upload any data that violates the privacy, intellectual property, or other rights of any third party.

4. Data Use and Privacy

We act as a data processor on your behalf. You are the data controller for the customer data you provide.We will use your customer data only to send review requests and manage review responses.We will not sell, share, or use the data for any other purpose.We implement appropriate technical and organisational measures to protect customer data in compliance with the Australian Privacy Act 1988 (Cth) and other applicable laws.

5. Data Security

We take reasonable steps to:

Ensure customer data is stored securely.Prevent unauthorised access, disclosure, modification, or destruction of data.Ensure third-party service providers used in delivering the Services (e.g., messaging platforms) comply with privacy and data protection obligations.

6. Confidentiality

Both parties agree to keep confidential all proprietary and customer data shared under this agreement. This obligation survives termination of these Terms.

7. Limitation of Liability

To the extent permitted by law:

We shall not be liable for any indirect, incidental, or consequential loss or damage.Our total liability in connection with the Services shall be limited to the fees paid by you to us in the 3 months prior to the claim.

8. Payment and Fees

You agree to pay fees as outlined in your service agreement or invoice. We reserve the right to suspend or terminate the Services for non-payment.

9. Termination

Either party may terminate these Terms with 14 days’ written notice. We may suspend or terminate the Services immediately if you breach these Terms.

10. Compliance with Laws

You agree to comply with all applicable laws, including spam and privacy regulations (such as the

Spam Act 2003 (Cth) and Privacy Act 1988 (Cth), in your use of our Services.

11. Modifications

We may update these Terms from time to time. We will notify you of significant changes. Continued use of the Services after changes constitutes acceptance of the new Terms.
